Directors & Officers Liability
Directors & Officers (D&O) insurance is purchased by companies that wish to protect their directors and officers from the expense of defending charges brought by stockholders or others. The types of charges that would be filed under a D&O policy would be those perceived as misconduct by an officer or director which could have an adverse effect on the company, including the lowering of the value of the stock.
Many non-profit organizations purchase D&O insurance to attract individuals to serve on their boards. Most states provide some form of protection to directors of non-profits as a matter of law, however, this does not include protection for claims that are filed under federal civil rights laws. In addition, most states require the non-profit organization to purchase or attempt to purchase insurance in order for these laws to protect their directors.
